01Who we are and what these terms cover
These Terms of Use govern your access to pactveris.com, the evaluation demo at demo.pactveris.com, and related website materials that link to these Terms (together, the “Website”). The operator is Pactveris, LLC, an Averane Global Company (“Pactveris,” “we,” “us,” or “our”), an Arizona, United States business. Contact legal@pactveris.com for legal notices and questions.
These Terms cover website use and evaluation access. They do not create a paid subscription, customer service agreement, data-processing agreement, service-level commitment, or right to a production CRM account. Any purchase, deployment, implementation, or processing of a business’s real customer data requires the applicable separate written agreement. That agreement controls its subject matter if there is a conflict.
02Agreement, eligibility, and authority
By affirmatively accepting these Terms where presented, including as part of demo registration, you agree to them. Other use of the Website is subject to these Terms to the extent applicable law recognizes notice and assent. If you do not agree, do not request restricted demo access or use the Website contrary to these Terms.
The Website and demo are intended for business evaluation by people at least 18 years old who can enter a binding agreement. If acting for an organization, you represent that you have authority to bind it; otherwise, you act only for yourself. You must not misrepresent your identity, affiliation, authority, or purpose.
03Limited permission to use the Website
Subject to these Terms and any additional terms you affirmatively accept, we grant you a limited, revocable, nonexclusive, nontransferable, nonsublicensable permission to view the public Website and, if admitted, use the demo solely to evaluate Pactveris for legitimate internal business purposes. No software, source-code, trademark, commercialization, or redistribution license is granted. We retain all rights not expressly granted.
You may link to public pages in a lawful, nonmisleading manner that does not suggest endorsement. You may not frame the Website, disguise its origin, remove notices, or present our content as your own. Any permission ends when your access expires or these Terms are terminated.
04Intellectual property and protected materials
Pactveris and its licensors retain their respective rights in protected software, original interface artwork, designs, text, documentation, branding, logos, graphics, compilations, and other materials. Third-party components remain subject to their owners’ rights and applicable licenses; these Terms do not override rights granted by an applicable open-source license or law. Public availability does not transfer ownership.
Except with prior written permission or as applicable law or a controlling license permits, you must not copy, reproduce, republish, distribute, sell, sublicense, translate, adapt, create derivative works from, scrape, extract, or commercially exploit protected Website or demo materials. You must not use protected materials or nonpublic information to reproduce the product, its protected interface assets, or a competing implementation, or to train or improve an AI or machine-learning system without authorization. These restrictions do not claim exclusive rights in unprotectable ideas, facts, or independently developed work.
Restricted demo access does not authorize screenshots, screen recordings, downloads, exports, or publication of protected demo materials, except for a specific download or use we expressly authorize. Preserve all copyright, confidentiality, trademark, and attribution notices.
05Acceptable use and account security
You must comply with applicable law, use only the access granted to you, and protect access cookies, credentials, and private links. Do not share or sell access; impersonate another person; collect other users’ information; probe, scan, or test vulnerabilities without written authorization; circumvent access controls or rate limits; introduce malicious code; interfere with availability; or use bots or automated extraction against restricted areas.
You must not submit unlawful, infringing, abusive, deceptive, or malicious material, or use the Website to facilitate fraud, harassment, unlawful surveillance, discrimination, or other unlawful conduct. Report suspected unauthorized access or security issues to our legal contact without exploiting the issue or accessing additional information.
06Evaluation demo: fictional data and no real transactions
The demo is a temporary evaluation environment with fictional sample records and simulated workflows. It is not a production system, a recordkeeping service, a free production trial, or a safe place for real client information. Do not enter real customer data, payment details, government identifiers, health information, credentials, confidential business records, or other sensitive or regulated information.
Demo signatures, agreements, invoices, receipts, approvals, payments, notifications, and email outbox entries are simulations. They do not create a real agreement with a sample party, collect funds, send external provider communications, or establish legal signing evidence. Demo state may expire, reset, or disappear without recovery. Do not rely on it for actual business decisions, compliance, or retention.
Submitting your real registration name and email is separate from the fictional demo data. You must provide accurate registration details and complete required acknowledgments. Registration does not entitle you to indefinite access or production services. Additional demo terms shown at registration apply to that access; a specific demo restriction controls over a more general Website permission.
07Your submissions, feedback, and responsibilities
You retain any rights you have in information you submit. You represent that you have the rights and permissions needed to submit it. You grant us only the rights reasonably necessary to receive, process, secure, and respond to the submission or provide the requested evaluation, subject to our Privacy Policy and applicable law. Personal information is not assigned to us as intellectual property.
If you voluntarily provide nonconfidential product suggestions, you permit us to use them without compensation or attribution, without restricting your ownership of independently protectable materials or our privacy obligations. Do not send proprietary inventions, third-party confidential material, or trade secrets as unsolicited feedback.
For business use, you are responsible for your organization’s users, lawful instructions, and the consequences of your unauthorized submissions. Do not upload actual client files to the demo even if a sample interface displays an upload control.
08Product information and third-party services
Product descriptions and illustrative images explain supported concepts and workflows, not a promise that every feature, integration, configuration, or deployment is available to every visitor. Commercial availability, pricing, implementation, and subscription terms must be confirmed in writing. Roadmaps and examples are not binding delivery commitments.
Provider-dependent functions require appropriate connections, permissions, accounts, and configuration. The Website is not legal, financial, accounting, security, or professional advice. Third-party websites and services have their own terms and privacy practices; a link is not an endorsement or assumption of their obligations.
09Suspension, termination, and preservation
We may limit, suspend, or terminate access, remove unauthorized material, or discontinue an evaluation when reasonably necessary to address misuse, security, legal obligations, technical operation, or the end of an evaluation. Where appropriate and lawful, we may act without prior notice. We may preserve relevant records for a legitimate investigation or legal obligation, consistently with applicable law and our Privacy Policy.
Termination ends your permission to access restricted materials. Stop unauthorized use and delete unauthorized copies, except where law requires preservation. Provisions concerning ownership, use restrictions, confidentiality, accrued obligations, limitations, disputes, and other provisions intended to survive remain effective.
10Nonpublic evaluation information
Protect information disclosed through restricted access that is identified as confidential or should reasonably be understood to be confidential. Use it only for the authorized evaluation and disclose it only to people we authorize who are bound to protect it. This duty does not cover information you can establish was lawfully known without restriction, independently developed without use of protected information, publicly available without breach, or lawfully received from an unrestricted source.
If disclosure is legally compelled, provide notice where legally permitted and disclose only what is required. Nothing prohibits protected reporting to regulators or law enforcement, lawful whistleblowing, or exercising nonwaivable rights.
11Warranty disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, EVALUATION DEMO, AND MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, completeness, suitability for your circumstances, or that any evaluation result will be reproduced in a production deployment. No Website statement creates a warranty beyond a separate authorized written agreement. Mandatory legal guarantees remain unaffected.
12Limitations of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PACTVERIS AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND THEIR PERSONNEL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, GOODWILL, OPPORTUNITIES, OR DATA; OR BUSINESS INTERRUPTION ARISING FROM WEBSITE OR FREE EVALUATION USE, EVEN IF ADVISED OF THE POSSIBILITY.
To the extent permitted by law, our total aggregate liability for claims arising from this Website or free evaluation is limited to US $100. This limitation does not govern liabilities under a separate paid-service agreement. Nothing excludes or limits liability for fraud, willful misconduct, gross negligence where it cannot lawfully be limited, death or personal injury where limitation is prohibited, or any other liability or remedy that applicable law does not permit us to exclude or limit. If a restriction is unenforceable, it applies only to the maximum lawful extent.
13Business-user indemnity
To the extent permitted by law and applicable to your business use, you will defend and indemnify Pactveris against third-party claims and reasonable resulting costs, including reasonable legal fees, arising from your unlawful or infringing submissions, unauthorized use, or material breach of these Terms. This does not cover claims caused by our own breach, negligence, willful misconduct, or unlawful conduct to the extent the law prohibits shifting that responsibility.
We will provide reasonable notice and cooperation at your expense. We may participate with our own counsel. You may not settle a claim in a way that admits fault for, imposes an obligation on, or fails to release us without our written consent, not unreasonably withheld.
14Arizona law and disputes
Arizona law and applicable United States federal law govern these Terms, without applying conflict-of-laws rules that would select another jurisdiction, except to the extent mandatory law requires otherwise. Subject to nonwaivable rights, courts of competent jurisdiction located in Arizona, United States have exclusive jurisdiction over disputes arising from these Terms or the Website, and the parties consent to their jurisdiction.
Before filing a claim, you and we should attempt in good faith to resolve it by written notice to the other party describing the issue and requested resolution. This does not prevent urgent interim relief, regulatory complaints, timely filings necessary to preserve rights, or proceedings a mandatory law permits elsewhere. These Terms do not impose mandatory arbitration, waive statutory privacy rights, or restrict truthful lawful reviews. We may seek appropriate injunctive relief for threatened or actual misuse of protected materials, subject to the court’s standards; no remedy is automatic.
15Changes, general terms, and notices
We may revise these Terms prospectively by posting an updated version and effective date. For material changes affecting restricted access, we will provide additional notice or obtain renewed agreement where required. Changes do not retroactively alter an accrued dispute without agreement or override a separate signed contract.
These Terms and applicable additional terms form the agreement for their subject matter. An unenforceable provision is limited or severed only as necessary; the rest remains effective. Failure to enforce a provision is not a waiver. You may not transfer restricted access or your obligations without our written consent. We may transfer these Terms as part of a lawful reorganization or transfer of the relevant business, subject to applicable law. Neither party is responsible for delay caused by events beyond its reasonable control, except obligations that law does not permit it to excuse.
Send legal notices, permission requests, and infringement reports to legal@pactveris.com. Include your contact details, the relevant URL or material, the basis of your request, and sufficient information for us to evaluate it. Do not send sensitive material unnecessarily. This contact is not a representation that a statutory copyright agent has been designated.
